These are sample copies of the actual documents every SecureLynx engagement runs on, watermarked and current as of version 2606-001. Bracketed fields are completed per engagement after the environment assessment; the executed versions you sign match these templates. The excerpts quoted on our pricing page come from these documents word for word.
Ten clauses you will not find in standard MSP paper, each checkable word for word in the samples below.
MSA §19, Dispute Resolution. Nearly every MSP contract forces binding arbitration, which means no jury, no appeal, and costs that deter small claims. Ours expressly excludes arbitration: good-faith negotiation, then non-binding mediation, then a real court if it comes to that.
SLA §9, Service Credits. Industry-standard SLAs make you claim your credits in writing within a deadline or forfeit them; most clients never collect. Ours are calculated in the monthly report and applied to the next invoice automatically, no request required. And credits back two commitments, not one: first response and resolution.
MSA §8, Term and Termination; SLA §13, Data Handling. Most MSP contracts say nothing about leaving, which is how clients end up held hostage for their own credentials. Ours commits to handing over your documentation, admin credentials, and data in machine-readable formats within 25 days, gives you a 15-day no-charge retrieval window for backups, and caps any recovery-assistance fees at $1,000 total.
SLA §10, Rate Stability. No annual increases, no inflation adjustments. Per-user rates hold for the life of the agreement; fees change only when users or scope change, and only through a signed Work Order or Change Order.
SLA §12, Billing Terms. The opposite of rate creep: 1% off recurring fees for each full year of service, to 5%, applied automatically. The schedule is fixed from day one and moves only in your favor.
SLA §13, Term. No annual lock-in, no early-termination penalty. Either party, 30 days' written notice. We keep clients by performing, not by contract.
MSA §12, Enhanced Cap. The standard MSP move is capping all liability at a few months' fees, including for data breaches. Ours raises the cap to two times or available insurance proceeds for confidentiality and data-security claims, and states the insurance limits in the contract (§16), with a certificate on request.
MSA §10, Data Protection. Not "without undue delay" and nothing more: a hard 72-hour contractual maximum from discovery of any known or suspected breach.
MSA §4, Payment Terms; SLA §12, Hardware and Third-Party Licensing. We don't sell or resell hardware or licensing. You buy direct, hold the vendor relationships, and own everything outright, so our recommendations have no revenue motive behind them.
MSA §14, Intellectual Property. Deliverables are assigned to you on payment, with a perpetual license to any embedded tooling. Client data ownership is stated flat out: nothing in the agreement transfers it.
